Terms & Conditions

These Terms & Conditions ("Agreement") constitute a legally binding contract between AgroZap Private Limited (CIN: U01000HR2025PTC000001), a company incorporated under the Companies Act, 2013, having its registered office at Gurugram, Haryana, India ("AgroZap", "we", "us", "our") and any individual, proprietorship, partnership, LLP, private limited company, or any other legal entity ("User", "you", "your") accessing or using the platform available at https://agrozap.in ("Platform").

By accessing, registering on, or transacting through the Platform, you unconditionally accept these Terms. If you do not agree, you must immediately cease use of the Platform.

2. Scope of Services

AgroZap operates as a technology-enabled B2B marketplace and provides the following services to registered Users:

• Digital catalogue and product discovery for agrochemicals, seeds, fertilizers, biologicals, micronutrients, plant growth regulators, and allied farm inputs.
• Enquiry and Request for Quotation (RFQ) management tools.
• Purchase order creation, tracking, and management.
• Invoice generation and documentation tools.
• Business profile creation and KYC verification.
• Communication tools between Buyers and Sellers.
• Logistics tracking integration (current and future).
• Future services including online payments, credit facilities, NBFC financing, escrow, wallet, price intelligence, analytics, AI-powered search, and subscription plans — governed by supplementary terms when launched.

AgroZap is a marketplace intermediary and not a party to any transaction between Buyers and Sellers. AgroZap does not manufacture, stock, own, or guarantee the quality of any product listed on the Platform.

3. User Eligibility

3.1 General Eligibility

To register and transact on the Platform, you must:

• Be at least 18 years of age and legally competent to enter into contracts under the Indian Contract Act, 1872.
• Represent a legitimate business entity registered and operating in compliance with Applicable Law.
• Possess a valid GSTIN (if turnover exceeds the GST threshold) or a valid PAN.
• Hold all licenses, permits, and registrations required by Applicable Law for your specific business activities (e.g., CIB registration for pesticide manufacturers, FSSAI for food-grade products).
• Not be prohibited by any court order, regulatory authority, or Applicable Law from engaging in the business activities offered on the Platform.

3.2 Prohibited Persons

The following are not eligible to register: minors, entities under insolvency proceedings, entities debarred by any government authority, individuals convicted of fraud or financial crimes, and entities on any government sanctions list.

4. Account Registration

4.1 Registration Process

Users must complete registration by providing accurate business information, uploading requisite KYC documents, and accepting this Agreement. Each entity may maintain only one active account. Creating multiple accounts for the same business entity is prohibited.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials. All activities conducted through your account are your responsibility. You must immediately notify AgroZap at contact@agrozap.in upon discovering any unauthorised access.

4.3 Account Verification

AgroZap reserves the right to verify all registration information and may, at its sole discretion, approve, reject, or suspend any account without assigning reasons.

5. Rights & Responsibilities

5.1 Seller Responsibilities

• Maintain accurate, complete, and up-to-date product listings including composition, specifications, MRP, pack sizes, and regulatory status.
• Hold valid CIB/CIP registrations, pesticide licenses, import permits, and other required regulatory approvals for all listed products.
• Issue valid GST-compliant tax invoices for every completed transaction.
• Dispatch orders within agreed timelines and upload dispatch documentation promptly.
• Comply with the Insecticides Act 1968, Fertilizer Control Order 1985, Seeds Act 1966, Environment Protection Act 1986, Legal Metrology Act 2009, and all other relevant statutes.
• Not list counterfeit, adulterated, banned, or non-compliant products.

5.2 Buyer Responsibilities

• Submit genuine enquiries and purchase orders with honest intent to transact.
• Verify that purchased products are suitable for the intended use and comply with local regulatory requirements.
• Make payments as per agreed terms and not dishonour confirmed purchase orders without valid cause.
• Inspect goods upon delivery and raise disputes within the timelines specified in the Cancellation & Refund Policy.
• Maintain all required licenses for purchasing, storing, and reselling agrochemicals.

5.3 AgroZap Rights

• Remove any Listing that violates these Terms, Applicable Law, or the rights of third parties.
• Suspend or terminate any User account for breach of these Terms.
• Modify, update, or discontinue any feature of the Platform with reasonable notice.
• Collect and use platform data for analytics, improvement, and business intelligence purposes in accordance with the Privacy Policy.

6. Platform Usage Rules

Users must not:

• Use the Platform for any purpose other than legitimate B2B agrochemical trade.
• Upload false, misleading, or fraudulent information.
• Engage in price manipulation, collusion, or anti-competitive conduct.
• Scrape, harvest, or extract Platform data using automated tools.
• Introduce malware, viruses, or any malicious code.
• Circumvent the Platform to conduct off-platform transactions after initial introduction through AgroZap.
• Impersonate any person, business, or authority.
• Infringe the intellectual property rights of AgroZap or any third party.

7. Intellectual Property

All intellectual property on the Platform — including the AgroZap brand, logo, software, algorithms, database structure, UI/UX design, and original content — is owned by or licensed to AgroZap Private Limited and is protected under the Copyright Act 1957, Trade Marks Act 1999, and other Applicable Laws.

Users grant AgroZap a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute the Content they upload on the Platform solely for the purpose of operating and promoting the Platform. This licence does not transfer ownership of the Content.

8. Third-Party Services

The Platform integrates with or links to third-party services including logistics partners, payment gateways, NBFC/financial service providers, KYC verification agencies, and analytics tools. AgroZap does not control these services and is not liable for their performance, data practices, or failures. Use of third-party services is subject to their respective terms and privacy policies.

9. Limitation of Liability

To the maximum extent permitted by Applicable Law:

• AgroZap shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the Platform.
• AgroZap's aggregate liability to any User in connection with any claim shall not exceed the total platform fees paid by that User to AgroZap in the three months preceding the claim.
• AgroZap makes no warranties regarding the accuracy of product listings, the creditworthiness of Users, the quality of products, or the fulfilment of orders by Sellers.
• AgroZap is not liable for any loss arising from regulatory non-compliance by any Seller or Buyer.

10. Indemnification

You agree to defend, indemnify, and hold harmless AgroZap Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, penalties, and expenses (including legal costs) arising out of or related to:

• Your breach of these Terms or any Applicable Law.
• Content you upload or transactions you conduct on the Platform.
• Infringement of third-party intellectual property or privacy rights.
• Any product defect, regulatory non-compliance, or misrepresentation by you.
• Any dispute between you and another User.

11. Termination

11.1 By AgroZap

AgroZap may suspend or permanently terminate your account with immediate effect upon: breach of these Terms; fraudulent or illegal activity; failure to maintain valid KYC or regulatory licenses; repeated customer complaints; or at AgroZap's sole discretion with 15 days written notice for any non-breach reason.

11.2 By User

You may close your account by written request to contact@agrozap.in. Closure does not discharge obligations arising from completed or in-progress transactions. AgroZap will retain data as required by Applicable Law.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana, India. AgroZap may seek injunctive relief in any competent court.

Disputes may be resolved through arbitration under the Arbitration and Conciliation Act 1996 if mutually agreed in writing. The seat of arbitration shall be Gurugram, Haryana, and proceedings shall be in English.

13. Policy Updates

AgroZap reserves the right to modify these Terms at any time. Material changes will be notified via email or a prominent notice on the Platform at least 15 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.

Frequently Asked Questions

Is AgroZap a seller of products?

No. AgroZap is a technology marketplace. All products are listed and sold by independent registered Sellers. AgroZap facilitates the connection but is not a party to any sale.

Who is responsible if a product is defective?

The Seller who listed and dispatched the product bears primary liability. AgroZap provides a dispute resolution mechanism to assist Buyers in such cases.

Can individuals register on AgroZap?

AgroZap is a B2B platform for registered businesses. Individual retail consumers are not the intended audience and individual registrations without a business entity may be rejected.

What law governs disputes?

Indian law governs all disputes. Exclusive jurisdiction lies with courts in Gurugram, Haryana.
