Marketplace Disclaimer

This Disclaimer is issued by AgroZap Private Limited to clearly communicate the nature, role, and limitations of the AgroZap Platform as required under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, the Consumer Protection (E-Commerce) Rules 2020, and general principles of Indian contract and commercial law.

1. AgroZap is a Technology Marketplace

AgroZap operates exclusively as a digital technology platform that facilitates B2B commerce between independent Sellers and Buyers of agrochemical and allied products. AgroZap is an intermediary as defined under Section 2(1)(w) of the Information Technology Act 2000.

AgroZap is NOT:

• A manufacturer, producer, or formulator of any product listed on the Platform.
• An importer, exporter, or trader acting on its own account.
• A party to any contract of sale between a Seller and a Buyer.
• A guarantor of product quality, efficacy, safety, or regulatory compliance.
• A licensed distributor, dealer, or stockist of any agrochemical product.

2. Product Listings Disclaimer

All product information displayed on the Platform — including product names, compositions, specifications, images, MRP, efficacy claims, shelf life, pack sizes, and technical data — is provided by Sellers and published on an "as-is" basis. AgroZap:

• Does not independently verify the accuracy or completeness of product information provided by Sellers.
• Does not guarantee that any product is free from defects, adulterants, or non-conformities.
• Does not warrant that listed products are registered, approved, or permissible for use in any particular state, district, or country.
• Does not guarantee product availability at the time of order placement.

Buyers are solely responsible for independently verifying product suitability, regulatory compliance, and quality before purchase and use.

3. Pricing Disclaimer

Prices displayed on the Platform are set by individual Sellers and may vary between Sellers for the same product. AgroZap does not:

• Guarantee that displayed prices are the lowest available in the market.
• Control or set prices of any product listed by Sellers.
• Guarantee price accuracy at the time of order — prices may change before order confirmation.
• Warrant that prices comply with government-mandated price controls (e.g., essential commodities) — this is the Seller's responsibility.

4. Regulatory Approvals Disclaimer

AgroZap does not represent that any product listed on the Platform holds all required regulatory approvals including but not limited to CIB/CIP registration, state-level pesticide permits, import approvals, or FSSAI certifications. Buyers must independently verify regulatory status before purchasing, particularly for:

• Pesticides and insecticides — CIB registration status.
• Fertilizers — FCO compliance and state-level approvals.
• Seeds — registration under Seeds Act and state certification agency approvals.
• Imported products — customs clearance and end-use permissions.
• Biologicals and micronutrients — applicable regulatory status in the destination state.

5. Third-Party Services Disclaimer

The Platform may integrate with or link to third-party services including logistics providers, payment gateways, NBFC/credit providers, KYC verification agencies, and analytics tools. AgroZap disclaims all liability for:

• Service failures, delays, or outages by third-party providers.
• Data practices of third-party service providers (their own privacy policies apply).
• Quality or reliability of logistics services provided by third-party partners.
• Credit decisions, interest rates, or loan terms offered by NBFC/financial partners.

6. No Investment or Financial Advice

Any price intelligence, market data, analytics, or trend information provided on the Platform is for informational purposes only. It does not constitute financial, investment, or trading advice. AgroZap is not a SEBI-registered investment advisor.

7. Force Majeure

AgroZap shall not be liable for any failure or delay in Platform services resulting from circumstances beyond its reasonable control including: natural disasters, floods, epidemics, government actions, internet outages, power failures, war, civil unrest, strikes, or regulatory changes.

8. Limitation of Warranties

The Platform and all services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AgroZap does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Indemnity Reminder

By using the Platform, Users acknowledge and accept that AgroZap's liability is limited as set out in the Terms & Conditions and that Users indemnify AgroZap against claims arising from their own use of the Platform, their products, and their transactions. This disclaimer is an integral part of the Terms & Conditions.

10. Governing Law

This Disclaimer is governed by Indian law. Any disputes relating to this Disclaimer shall be subject to the exclusive jurisdiction of courts at Gurugram, Haryana, India.
